A Foreign Registration Certificate, also known as the Certificate of Authority or Registration, is required when registering your corporation or LLC to do business in a state it was not incorporated in. In order to legally operate your business in a state that it is not registered in, you may be required to have one of these documents to be in good standing.
While each state has its own requirements, the Foreign Registration Certificate is fairly easy to apply for directly from your state's Secretary of State website.
